Terms of Service

1. Scope
These Terms of Service apply to the services offered by SardjIT, including website development, SEO and Google Ads support, brand identity work, IT consulting, and related digital services. They apply to the use of this website and, in particular, to business inquiries and client projects unless different terms are agreed in writing for a specific project.
2. Offers and Project Agreements
Information on this website is for general information only and does not constitute a binding offer. A binding agreement is formed only when SardjIT confirms a project in writing, for example by email, proposal acceptance, or invoice acceptance. The agreed scope, deliverables, timeline, and pricing are defined in the relevant project agreement, quotation, or written confirmation.
3. Services
SardjIT provides tailored digital services. Unless expressly agreed otherwise, we do not owe a specific commercial success, a guaranteed search ranking, a guaranteed advertising result, or uninterrupted availability of third-party platforms. We owe the professional performance of the agreed services with reasonable care and in line with the agreed project scope.
4. Client Cooperation Duties
The client must provide all information, approvals, access credentials, texts, media, and other materials required for the project in a timely and accurate manner. The client is responsible for ensuring that provided content, trademarks, images, data, and instructions can lawfully be used. Delays in cooperation may lead to adjusted delivery dates and additional effort.
5. Revisions, Change Requests, and Additional Work
The agreed project scope covers only the services expressly included in the relevant quote or agreement. Additional requests, change requests, delayed feedback, or substantial changes to approved work may be treated as extra work and billed separately. Material scope changes may also affect timelines.
6. Payment Terms
Fees, payment schedules, and due dates are defined in the relevant quote, invoice, or project agreement. Unless otherwise agreed, SardjIT may require an upfront payment or deposit before starting work. Ongoing or phased projects may be invoiced by milestone, by month, or upon completion of agreed stages.
If payment is overdue, SardjIT may suspend ongoing work, delay delivery, withhold transfer of final files or access credentials, and charge statutory default interest and reminder costs where permitted by law.
7. Third-Party Services and Costs
Projects may involve third-party services or accounts, such as hosting, domain registration, email providers, analytics tools, ad platforms, plugins, fonts, stock assets, or other external software. Unless expressly agreed otherwise, such third-party contracts are the client's responsibility and third-party fees are not included in SardjIT's fees.
SardjIT is not responsible for service interruptions, policy changes, pricing changes, suspensions, or technical issues caused by third-party providers outside SardjIT's control.
8. Acceptance and Go-Live
Where a project includes a review or approval phase, the client must review the delivered work within a reasonable period and notify SardjIT of any substantial defects that are contrary to the agreed scope. If the client approves the work, uses it in production, requests launch, or does not raise substantial objections within a reasonable period, the relevant project stage may be treated as accepted.
9. Intellectual Property and Usage Rights
Unless otherwise agreed in writing, SardjIT retains ownership of concepts, know-how, reusable methods, templates, libraries, internal tools, and pre-existing materials. Upon full payment of the agreed fees, the client receives the rights necessary to use the final deliverables for the agreed purpose.
Open-source components, third-party assets, fonts, plugins, stock media, and third-party software remain subject to their own license terms. The client is responsible for complying with those terms where applicable.
10. Portfolio Rights
Unless confidentiality has been expressly agreed otherwise in writing, SardjIT may refer to the client relationship and display completed work in its portfolio, website, or marketing materials for the purpose of showing past work.
11. Confidentiality
Both parties shall treat confidential business information received from the other party as confidential and use it only for the performance of the project. This does not apply to information that is publicly known, lawfully received from a third party, independently developed, or required to be disclosed by law.
12. Warranty
If a deliverable materially deviates from the agreed scope, SardjIT will be given a reasonable opportunity to remedy the issue. The client must report recognizable defects with reasonable detail. No warranty is given for defects caused by client changes, third-party tools, hosting environments, browser updates, platform changes, or use outside the agreed purpose.
13. Liability
SardjIT is liable without limitation in cases of intent, gross negligence, injury to life, body, or health, and where liability is mandatory under applicable law.
In cases of slight negligence, SardjIT is liable only for the breach of essential contractual obligations, and in that case only for the foreseeable damage typical for this type of contract. To the extent permitted by law, liability for indirect damages, lost profits, lost business opportunities, and consequential damages is excluded.
To the extent legally permissible, total liability for claims arising from a specific project is limited to the amount paid by the client for that specific project or project phase that gave rise to the claim.
14. Client Responsibility for Content and Legal Compliance
The client is responsible for the legality, accuracy, and rights clearance of all materials and instructions provided to SardjIT, including texts, images, logos, trademarks, and data. SardjIT does not provide legal or tax advice unless expressly agreed. In particular, the client remains responsible for legally required website content such as imprint, privacy disclosures, sector-specific notices, and regulatory compliance of the client's own business.
15. Term and Termination
Project agreements remain in force until the agreed services are completed or the agreement is terminated. Either party may terminate for good cause. If a project is terminated before completion, SardjIT is entitled to payment for services already rendered, time already spent, committed third-party costs, and work reasonably prepared up to the termination date.
16. Governing Law and Place of Jurisdiction
These Terms of Service are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules to the extent permitted. If the client is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship shall be SardjIT's registered place of business in Germany, to the extent legally permissible.
17. Changes to These Terms
SardjIT may update these Terms of Service for future use of the website or future contracts. The version published on this page applies to website use. For client projects, the version agreed at the time of contract formation remains decisive unless the parties agree otherwise.
